We here present our Terms of Services(Terms of Use) which are communicated by, and property of Feni Finance Sweden AB (“Feni”, “Feni Finance”).

Welcome!

Feni, d/b/a (“Feni,” “we,” “us”, or “our”). These Terms of Service/Use (“Terms”) govern our users, d/b/a (“user,” “you,” “customer,” “your,”) and means that you are the user of our Services. If you use our Service on behalf of a company or other entity then “you” includes you and that entity together, and you represent and warrant that;

-You are an authorized entity representative with the authority to bind the entity to these Terms of Services.

-You also agree to these Terms of Services on the entity’s behalf you include.

As our users access Feni, our APIs, mobile applications, and any live support, software, features, news page, chat forums, or other technologies and/or functionalities provided on or in connection with our Services;

ARBITRATION NOTICE: PLEASE ENSURE TO THOROUGHLY REVIEW THESE TERMS OF SERVICE, AS THEY CONTAIN SIGNIFICANT INFORMATION THAT IMPACTS YOUR LEGAL RIGHTS. NOTABLY, THESE TERMS ENCOMPASS A REQUIRED ARBITRATION AGREEMENT AND CLASS ACTION WAIVER, MEANING THAT (WITH LIMITED EXCEPTIONS), ANY DISPUTES BETWEEN US MUST BE RESOLVED THROUGH INDIVIDUAL ARBITRATION WITH FENI INSTEAD OF BEING ADJUDICATED BY A JUDGE OR JURY IN A COURT. BY SELECTING THE ACCEPT BUTTON, SIGNING, AND/OR UTILIZING OUR SERVICE, YOU EXPRESSLY CONSENT TO ABIDE BY THESE TERMS AND ALL THE INCORPORATED TERMS REFERRED TO HEREIN. IF YOU DISAGREE WITH THESE TERMS, YOU ARE NOT PERMITTED TO ACCESS OR USE THE SERVICES OFFERED BY FENI.

This including collectively called our (“Service”) without limitation to using our services to view, explore, help display and create MPCs using our service, at your discretion, as to connect directly with others to create, purchase, sell, or transfer MPCs on a public blockchain. MPCs in our Terms of Service are (Motion Picture Credits) as an implemented digital item on a public blockchain. MPCs use smart contracts to link to or otherwise be associated with certain content or data on the blockchain to make our users' buying and selling demands possible when backing an MPO (Motion Picture Offering) financially. Feni reserves the possibility to unlock and lock different cryptocurrencies and regular financial holdings according to our legal requirements in protection from our creators for our purchasers.

Feni is not a wallet provider, financial institution, payments processor, money services business, or creditor. Feni provides a peer-to-peer web3 and financial service through modern blockchain commissions that help users discover the world of MPCs and directly interact with each other. By so Feni helps our users bring movie projects to life with the funding process available on the public blockchains for MPCs. We do not have custody or control over the blockchains or financial instruments you use or are interacting with and we do not directly execute or effectuate purchases, transfers, or sales for you without your consent. To use our Service, you must use a third-party wallet or bank account holdings which allows you to engage in transactions on blockchains and our other Services that are connected to MPCs in that specific MPO. Feni is not a party to any agreement between any filmmakers or purchasers directly. But as for exception, Feni is a marketplace in between the transactions between filmmakers and purchasers to by our best effort provide efficiency so that filmmakers run a legitimate business. You as a user still bear full responsibility for verifying the identity, legitimacy, and authenticity of MPCs that you purchase from filmmakers/third-party sellers/other MPC holders using the Service and as we make no claims, guarantees, or recommendations about the identity, legitimacy, functionality, or authenticity of users or MPCs in the public blockchain.

Project Dynamics

While most of our Terms of Use outline your interaction with Feni, this section delineates the dynamics between creators and backers of Feni projects, clarifying each party's responsibilities. By creating or supporting a Feni project, you are implicitly agreeing to these terms.

Feni serves as a platform for funding creative endeavours. When a filmmaker launches a project on Feni, they're essentially extending an invitation to others to enter into a contractual agreement with them. Purchasers who support a project are essentially accepting the filmmaker's offer and entering into that contract. It's crucial to understand that Feni itself is not party to this contract; rather, it's a direct legal agreement between filmmakers and their purchasers. Here's a breakdown of the terms governing this agreement:

Once a project reaches its funding goal, the filmmaker is obligated to execute the project and fulfil all promised rewards. By doing so, they fulfill their obligations to their purchasers. Throughout this process, filmmakers are expected to uphold a high standard of effort, maintain open communication, and remain dedicated to bringing the project to fruition. Similarly, purchasers must comprehend that backing a project isn't akin to owning a product—it's contributing to the creation of something new, with the potential for changes or delays. Should a filmmaker be unable to fulfil their project, they've failed to meet the basic obligations of this agreement. To rectify this, they must make every reasonable effort to find an alternative solution that best serves the purchasers. Specifically:

-Providing updates on progress, fund utilization, and obstacles hindering project completion.

-Working diligently and transparently towards concluding the project within communicated timelines.

-Demonstrating responsible fund management and genuine efforts to fulfil promises.

-Maintaining honesty and avoiding material misrepresentations in communications.

-Offering to refund any remaining funds, or explaining how funds will be used to complete the project alternately.

-The filmmaker bears sole responsibility for fulfilling their project promises.

Failure to do so may result in legal action by purchasers, with Feni retaining the right to intervene with campaign funds in case of disputes.

As our business evolves, we anticipate expanding our range of services for our customers. Consequently, we may need to establish supplementary terms for specific services categorised under the umbrella of the "Service," and these will also be governed by these overarching Terms. Additional terms and conditions specific to certain services will accompany the respective developments and become integral to our agreement with you should you opt to utilize those services? In the event of any conflict between these general Terms and any additional terms applicable to a particular service, the specific additional terms shall take precedence for that particular service. Feni retains the right to modify or change these Terms at our discretion. If significant alterations are made, we will make reasonable efforts to inform you of such changes, either through the Service or by updating the "Last Updated" date at the beginning of these Terms. By continuing to use the Service, you acknowledge your acceptance of the updated Terms and all the incorporated terms referenced therein, effective from the date of the Terms update. It is your responsibility to periodically review the Terms to stay informed of any changes and to ensure your understanding of the terms and conditions governing your access or use of the Service.

A) Terms for the App

You are accountable for supplying the mobile device, wireless service plan, software, Internet connections, and/or any other equipment or services necessary for downloading, installing, and utilizing the App. We cannot assure that the App will be compatible with any specific device or service plan. Additionally, we do not guarantee the availability of the App or Service in any particular geographic location.

B) Privacy Policy & Service Modifications

For details on the collection, usage, and sharing of information from and/or about you ("Your Information"), please consult our Privacy Policy. By submitting Your Information through our Service, you acknowledge and agree to the terms outlined in our Privacy Policy, providing explicit consent for the collection, usage, and disclosure of Your Information in alignment with the Privacy Policy. We retain the sole discretion to modify, suspend, or permanently discontinue the Service(or any of its features or components) at any time without liability.

C) License for Accessing and Utilizing Our Service and Content.

You are hereby granted a limited, nonexclusive, nontransferable, non-sub-licensable, and personal license to access and use the Service, with the condition that such license is contingent upon your adherence to these Terms. In the event that any software, content, or other materials owned by, controlled by, or licensed to us are distributed or made available to you as part of your use of the Service, we hereby provide you with a noncommercial, personal, non-assignable, non-sub-licensable, non-transferable, and non-exclusive right and license to access and display such software, content, and materials within the scope of the Service(including the right to download a single copy of the App onto your applicable equipment or device). This license is granted solely to enable you to use the Service as allowed by these Terms. It is important to note that your license in any content linked to or associated with any MPCs regarding an item is governed exclusively by the terms set forth by the relevant filmmaker/seller/creator/trader of such MPCs.

D) Ownership

The Service, encompassing its "look and feel"(such as text, graphics, images, logos, page headers, button icons, URLs, and scripts), proprietary content, information, and other materials, along with all content and materials contained therein, including but not limited to the Feni logo, designs, text, graphics, pictures, data, software, sound files, and other files, and their arrangement, are the exclusive property of Feni or our affiliates, licensors, or users, as applicable. You agree not to undertake any actions inconsistent with these ownership interests. We, along with our affiliates, licensors, and users, as applicable, retain all rights related to the Service and its content, including the exclusive right to create derivative works.

Feni's name, logo, trademarks, and any product or service names, designs, logos, and slogans are the intellectual property of Feni or our affiliates or licensors and may not be copied, imitated, or used, either in part or in whole, without our prior written permission for each instance. The "look and feel" of the Service constitutes the service mark, trademark, or trade dress of Feni and may not be copied, imitated, or used, either in part or in whole, without our prior written permission.

All other third-party trademarks, registered trademarks, and product names mentioned on the Service or within content linked to or associated with any MPCs displayed on the Service are the property of their respective owners. Creators of these MPCs or smart contracts are solely responsible for their operation and functionality. Feni does not own, possess, or control MPCs or the smart contracts deployed by third parties such as filmmakers/ creators/traders. They may further not be copied, imitated, or used, either in part or in whole, without the permission of the respective intellectual property rights holder. Reference to any products, services, processes, or other information by name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation by Feni. We appreciate feedback, comments, and suggestions for improving the Service, please also read our Privacy Policy(Thank you notes and Feedback). You acknowledge and explicitly agree that providing Feedback or actively visiting our chat forums does not grant you any right, title, or interest in the Service or such Feedback. You agree that Feni may use and disclose Feedback in any manner and for any purpose without further notice or compensation to you, and without you retaining any proprietary or other rights. You hereby assign to Feni all rights, titles, and interests (including, but not limited to, any patent, copyright, trade secret, trademark, show-how, know-how, moral rights, and any other intellectual property right) that you may have in and to any Feedback.

E) Access Feni

Accessing some parts of Feni’s services requires a blockchain address, serving as your identity in the web3 space or/and a verification process. A third-party wallet is essential to interact with the service of the public blockchains and/or the cryptocurrency parts of MPCs. Your Feni account ("Account") is linked to your blockchain address or your personal information, though you can enhance your profile by adding extra details, like a profile picture, phone number and curriculum vitae. Feni’s service displays MPCs associated with your linked blockchain address, along with any related content to your purchases. Usage of your wallet implies adherence to the wallet provider's terms and conditions and/or usage of fiat money to your bank's terms and conditions, as Feni has no control over its contents. You are responsible for ensuring that your wallet and/or other financial accounts do not share credentials or seed phrases. Notify your wallet provider or bank of any issues, and promptly inform Feni of/if security concerns related to your Account occur.

You must comply with applicable laws while using Feni services. Failure to do so may result in access restrictions, suspension, or termination, with Feni is not obligated to disclose details of such actions. By using the Service, you affirm that you are not in an Embargoed Jurisdiction, subject to sanctions, or associated with sanctioned entities. You also commit to avoiding transactions with such entities as we do. If using Feni outside the EU, ensure compliance with local laws. Feni may request additional information for various reasons, and failure to provide it may lead to restricted access. Service interruptions may occur due to equipment malfunction, maintenance, geographic restrictions, or Feni's discretion. Your Account may be disabled or your username reassigned at Feni's discretion. Feni’s users must be at least 18 years old, and/if those aged 13 to 18 must use Feni through a parent or guardian's Account. Usage by those under 13 is strictly prohibited(or under the age of 16 for individuals in the EEA/UK).

For users accessing the App from the Apple App Store, the following terms and conditions specifically apply:

If the terms and conditions of this paragraph are more restrictive or conflict with the other terms in these Terms, the more restrictive or conflicting terms in this paragraph apply solely to your use of the App from the Apple App Store. It is acknowledged that these Terms establish a direct agreement between you and Feni, excluding Apple, and that Apple bears no responsibility for the App or its content. Your use of the App must adhere to the App Store's relevant terms of use. Apple is not obligated to provide any maintenance or support services for the App. In the event of any failure of the App to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, for the App. To the maximum extent permitted by applicable law, Apple has no further warranty obligations regarding the App, and any other claims, losses, liabilities, damages, costs, or expenses arising from a failure to conform to a warranty are governed solely by these Terms.

Apple is not responsible for addressing any claims from you or any third party concerning the App, including product liability claims, noncompliance with legal or regulatory requirements, and claims under consumer protection or similar legislation. If there is a third-party claim that the App or your possession and use of it infringe on their intellectual property rights, Feni, not Apple is solely responsible for investigating, defending, settling, and discharging such intellectual property infringement claims as required by these Terms. When using the App, you must comply with applicable third-party terms of the agreement. It is acknowledged and agreed that Apple and its subsidiaries are third-party beneficiaries of these Terms concerning your use of the App. Upon accepting these Terms, Apple is deemed to have accepted the right to enforce these Terms against you as a third-party beneficiary.

F) Severability

Should any term, clause, or provision of these Terms be deemed invalid or unenforceable, that specific term, clause, or provision will be separable from these Terms. This separation will not impact the validity or enforceability of any remaining part of the term, clause, or provision, nor will it affect any other term, clause, or provision within these Terms.

G) Termination

Failure to comply with any provisions in these Terms automatically results in the termination of all licenses granted by Feni. Furthermore, irrespective of the content within these Terms, we maintain the right, at our sole discretion and with or without notice, to suspend, restrict, disable, terminate, or delete your Account and/or your ability to access or use the Service (or any part thereof) at any time and for any reason or no reason. You acknowledge and agree that we bear no liability or obligation to you in such circumstances, and you are not entitled to a refund for any amounts previously paid to us. In the event of Account termination or access restriction, you may after legally or directly proven innocence retain ownership of your MPCs, accessible through public blockchains, web3 wallets, platforms, financial accounts and/or websites.

H) Communication Preferences

Upon creating an Account, you agree to receive electronic communications from Feni, such as emails, push notifications, text messages, or other message types. These communications may encompass notices related to your Account, including transactional information, and are integral to your association with us. Additionally, we may send you promotional communications via email that we believe will be of interest to you. Providing this consent is not obligatory for using the Service, and you have the option to opt out of these communications through the Service or your mobile device's operating system, except for crucial service announcements and administrative messages. You can follow the unsubscribe instructions provided or adjust your preferences in your Account settings.

I) Indemnification

By accepting these Terms and accessing the Service, you commit, to the maximum extent allowed by applicable law, to indemnify, defend, and hold harmless Feni, as well as our current, former, and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors, and assigns (collectively referred to as the "Feni Parties"). This indemnification covers all actual or alleged claims, damages, awards, judgments, losses, liabilities, obligations, taxes, penalties, interest, fees, and expenses (including attorneys' fees and expenses), as well as costs such as court costs, settlement costs, and costs associated with pursuing indemnification and insurance. These encompass every kind of claim, known or unknown, foreseen or unforeseen, matured or unmatured, or suspected or unsuspected, in law or equity, whether arising in tort, contract or otherwise (referred to collectively as "Claims"). The indemnification specifically includes, but is not limited to, damages to property or personal injury resulting from:

(a) Your use or misuse of the Service, content, MPCs, or content linked to or associated with any part of Feni’s business.

(b) Any Feedback you provide.

(c) Your violation or breach of any term within these Terms or applicable law.

(d) Your infringement of the rights of or obligations to a third party, including another user or third party.

(e) Your negligence or willful misconduct. You commit to promptly informing Feni of any Claims and collaborate with the Feni Parties in their defence.

Furthermore, you agree that the Feni Parties shall have control over the defence or settlement of any Claims. This indemnity is supplementary to, and not a substitute for, any other indemnities outlined in a written agreement between you and Feni.

J) Disclaimers

Your use of the service is undertaken at your own risk. Feni explicitly disclaims any warranties or conditions, whether express or implied, as the service is provided "as is" and "as available." Feni, along with its suppliers, makes no warranty or representation regarding whether the service will meet your requirements, be available without interruptions, and be timely, secure, error-free, accurate, reliable, complete, legal, or safe. All other warranties or conditions, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, are also expressly disclaimed. Feni will not be held liable for any loss resulting from actions taken or reliance on material or information found on the service.

While Feni endeavours to ensure the safety of your access and use of the service, it cannot guarantee that the service, content, content linked to or associated with blockchain and/or financial services for MPCs, or MPCs you interact with are free of viruses or other harmful components. The security of any data you disclose online cannot be guaranteed, and Feni is not responsible for any breach of security. No advice or information obtained from Feni or the service will create any warranty or representation not expressly stated herein. You acknowledge and accept the inherent security risks of providing information and conducting online transactions over the Internet and agree not to hold Feni responsible for any security breaches. Feni will not be responsible or liable for any loss or for the use or loss of use of MPCs, content, and/or content linked to or associated with MPCs. This includes losses, damages, or claims arising from user errors, incorrectly constructed transactions, mistyped addresses, server failure, data loss, unauthorized access or use, or any unauthorized third-party activities against the service or MPCs.

MPCs exist based on ownership records maintained in the associated blockchain (e.g. Bitcoin network). All transfers or sales occur on the associated blockchain. Feni and any other Feni party cannot control the transfer of title or rights in any MPCs or associated content or items. No Feni party is responsible or liable for sustained losses or injuries due to vulnerability or failure, abnormal software behaviour (e.g., wallet, smart contract, financial accounts), blockchains, or other features of the MPCs. Feni parties are not responsible for losses or injuries resulting from delayed or absent reports by creators or representatives regarding issues with the blockchain supporting the MPCs, including forks, technical node issues, production delays, obstructions, production setbacks or any other issues leading to losses or injuries.

Note: Some jurisdictions may not permit the exclusion of implied warranties in consumer contracts, making the above exclusion inapplicable to certain users.

K) Survival Clause

Any provisions inherently intended to persist beyond the termination of these Terms shall remain valid and enforceable, unaffected by the conclusion of these Terms, whether initiated by Feni or yourself. Termination does not restrict Feni's other legal or equitable rights and remedies.

L) Miscellaneous

These Terms, along with any additional terms or policies incorporated by reference, constitute the complete agreement governing your access to and utilization of the Service between you and Feni. Without the prior written consent of Feni, you may not transfer or assign these Terms, including any rights or licenses granted herein. Feni's failure to enforce any right or provision in these Terms does not constitute a waiver of such right or provision. No waiver by either party of any breach or default under these Terms shall be deemed a waiver of any prior or subsequent breach or default. Section headings are provided for reference purposes only and carry no legal significance. The Service is operated by us in Sweden. Users accessing the Service from locations outside the EU do so voluntarily and are responsible for complying with relevant local laws. You and Feni mutually agree that the EU convention on contracts for international sale of commodities does not apply to the interpretation or construction of these Terms. Unless otherwise specified, these Terms are exclusively intended for the benefit of the parties involved and are not designed to confer third-party beneficiary rights upon any other individual or entity.

M) Injunctive Relief Provision

You acknowledge that a violation of these Terms would result in irreparable harm to Feni, for which monetary compensation would be insufficient.

Feni reserves the right to seek equitable relief, in addition to any remedies available under these Terms or by law, without the necessity of a bond, alternative security, or the requirement to demonstrate damages.

N) Limitation of Liability

To the maximum extent permitted by law, you agree that Feni and its service providers shall not be liable to you or any third party for:

(a) Any indirect, consequential, exemplary, incidental, special, or punitive damages arising from these Terms or our Service, products, or third-party sites and products. This includes damages related to the loss of profit, revenue, business, anticipated savings, use, goodwill, or data, whether caused by strict liability, tort (including negligence), breach of contract, or otherwise, even if foreseeable and even if Feni or its service providers have been advised of the possibility of such damages.

(b) Any other claim, demand, or damages resulting from or arising out of these Terms, the delivery, use, or performance of the Service. Your access to and use of the Service, products, or third-party sites, and products are at your own discretion and risk, and you will be solely responsible for any damage to your computer system or mobile device or loss of data resulting from such use.

Notwithstanding anything to the contrary herein, in no event shall the total aggregate liability of Feni arising from or related to these Terms, the access to and use of the Service, content, MPCs, or any Feni products or services exceed the greater of:

(a) 1000 SEK (Swedish Crones)

(b) The amount received by Feni for its service to you directly related to the items that are the subject of the claim. These limitations shall apply even if the above-stated remedy fails in its essential purpose.

It is important to note that some jurisdictions may not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. Additionally, certain jurisdictions may limit disclaimers or limitations of liability for personal injury arising from consumer products, and as such, this limitation may not apply to personal injury claims.

O) Third-party content, Agreements, and Services

Feni operates as a peer-to-peer web3 service and/or financial based blockchain crowdfunding market platform, facilitating the exploration of MPCs created by third parties and interaction with various blockchains. Please note that Feni does not provide any assurances or warranties regarding the third-party content visible through our Service, including the content associated with MPCs displayed on the platform. It is your responsibility to verify the legitimacy, authenticity, and legality of MPCs purchased from third-party sellers. Additionally, we cannot guarantee the continuous visibility or availability of any MPCs on Feni for buying, selling, or transferring. Users assume full responsibility for the content associated with their MPCs.

These Terms exclusively govern the use of our Service. MPCs exist on public blockchains and can be transacted directly between buyers, sellers, and/or creators without utilizing our Service. Consequently, users may engage in MPCs transactions without agreeing to our Terms. Specific terms and conditions, known as "MPC Terms," may apply directly between buyers, sellers, and/or creators regarding the use of MPCs, including associated content, rights, and obligations. When accessing MPC details or metadata on Feni, you may encounter third-party links to MPC Terms that you must adhere to. Feni does not establish these MPC Terms and is not a party to them; they are solely between the buyer, seller, and/or creator. The responsibility for communication, dissemination, agreement, and enforcement of MPC Terms lies entirely with the buyer, seller, and/or creator and users are advised to review such terms.

Sellers bear the sole responsibility for determining and setting the price of an MPC, which includes any applicable taxes. Additionally, Creators are responsible for any production profit count and producing mechanics associated with the MPCs royalty performances yearly reports. Feni may receive certain trading fees for its Service regarding transactions of MPCs between buyer and seller. Since Feni does not collect these fees before a transaction is made and accepted by the seller, Feni cannot and/or is not responsible for providing refunds for them after the potential transaction between buyer and seller has been made. Our Service may feature links or functionality to access third-party websites ("Third-Party Websites") and applications ("Third-Party Applications") or display content, data, information, services, applications, or materials from third parties ("Third-Party Materials"). When users access these external sources, they are subject to the terms and conditions, including privacy policies, of those websites or applications. Feni disclaims responsibility for any Third-Party Websites, Third-Party Applications, and Third-Party Materials, as they are beyond our control. Links to these external sources are provided for convenience, and Feni does not endorse or make representations regarding Third-Party Websites, Third-Party Applications, or their associated products and services. Users interact with Third-Party Websites, Third-Party Applications, and Third-Party Materials at their own risk.

P) User Behaviour Guidelines

Our commitment to openness is fundamental, aiming to provide individuals from diverse backgrounds and varying levels of experience in web3 and modern financials markets with a vibrant perspective on different blockchains and/or existing financial solutions. While fostering this community, we prioritize safeguarding its integrity and adhering to legal obligations. Hence, we retain the right to take action, with or without prior notice, if we, at our sole discretion, believe you have breached these Terms or might employ our Service for unlawful purposes. This includes measures such as limiting access to certain MPCs, restricting Service usage, and other appropriate actions. By using the Service, you agree not to violate any laws, contracts, intellectual property rights, or any third-party rights. You acknowledge your sole responsibility for your conduct and content while using the Service. Specifically, you agree not to:

-Unauthorized use of another user's Account.

-Impersonate others or engage in transactions using a wallet och financial account controlled by someone else.

-Claim Feni usernames for resale or deceptive purposes.

-Access the Service from a different blockchain address without written permission if access has been blocked previously.

-Engage in spamming, including sending unwanted information regarding MPCs to other users.

-Use the Service in a way that may damage, disable, or impair its functioning.

-Bypass instructions controlling access to the Service or violate developer policies.

-Use the Service for commercial purposes contrary to the Terms or provided instructions.

-Employ unauthorized automated means to access the Service, extract data, or interfere with its functionality.

-Attempt to reverse engineer or decode any aspect of the Service.

-Attempt to sell or resell the Service or circumvent any associated fees.

-Artificially manipulate item visibility, search results, or engagement metrics.

-Use the Service for advertising or direct marketing activities.

-Engage in illegal financial activities or activities associated with money laundering or terrorism financing.

Subjectivity and Volatility: The value of Motion Picture Credits (MPCs) is subjective, and their prices are susceptible to volatility. Fluctuations in cryptocurrency prices can significantly impact MPC prices. You recognise and fully understand the subjective and volatile nature of these markets, acknowledging the potential for financial losses.

Responsibility for Fees: You are responsible for any fees associated with your use of the Service, including blockchain-related actions. Regardless of whether a transaction is successful, fees incurred are final and irreversible.

Ecosystem Development Risks: The lack of use or public interest in the development of distributed ecosystems may adversely affect both ecosystem development and related applications, potentially diminishing the utility of MPCs .

Regulatory Uncertainty: The regulatory landscape governing blockchain technologies, Motion Picture Credits, and cryptocurrency is uncertain.

New regulations or policies may materially impact the development of the Service and the utility of MPCs.

Tax Obligations: You are solely responsible for determining and complying with any applicable taxes related to your transactions. Feni does not handle the determination, withholding, collection, reporting, or remittance of taxes on your MPCs.

Risks in peer-to-peer Transactions: Purchasing items associated with third-party content through peer-to-peer transactions carries risks such as acquiring counterfeit items, mislabeled items, items vulnerable to metadata decay, and items with smart contract bugs. You affirm that you have conducted sufficient research before interacting with any MPCs or accounts/collections.

Lack of Control Over Smart Contracts: Feni does not own or control smart contracts deployed by third parties. There is no guarantee regarding the operation and functionality of these smart contracts.

Irreversibility of Blockchain Transactions: Blockchain transactions are irreversible, and Feni cannot reverse any transactions on the blockchain.

Risks of Internet and Blockchain Usage: Using Internet and blockchain-based products involves risks associated with hardware, software, and Internet connections. These risks include potential malicious software introduction and unauthorized access to third-party wallets or accounts. Feni is not responsible for any communication failures, disruptions, errors, distortions, or delays experienced during Service or blockchain network usage.

Reliance on Third-Party Platforms: The Service relies on third-party platforms and vendors. Any deterioration in our relationship with these entities, changes in their terms and conditions or pricing, or our inability to comply with their terms and conditions may impact access to and use of the Service.

Feni's Right to Act: Feni reserves the right to hide collections, contracts, and items affected by various issues. Items purchased may become inaccessible on Feni, but such circumstances do not provide grounds for a claim against Feni.

In the event of a dispute with one or more users, by agreeing to this release, you hereby release us from all claims, demands, and damages, regardless of their kind or nature, known or unknown, arising from or in any way connected to such disputes. Feni does not claim ownership of the content submitted, posted, or displayed on the Service. We acknowledge that we do not own it but reserve the right to use and showcase it for our present and future business purposes. You affirm that you possess or have obtained all necessary rights, licenses, consents, permissions, power, and/or authority to grant the rights described herein for any content you create, submit, post, promote, or display on or through the Service. You are solely responsible for the content and metadata linked to MPCs and projects you create. You warrant that such content does not infringe upon copyright, trademark, publicity rights, or other intellectual property rights unless you have the required permissions or are legally entitled to post the material and grant Feni the specified license. Additionally, the content must not violate any laws.

Feni will promptly address Digital Millennium Copyright Act ("DMCA") takedown notices and other intellectual property infringement claims. Access to the Service may be terminated for users determined to be repeat infringers. S) Subscription-Based Services

Our offerings include services, products, and subscriptions, all subject to a subscription fee, referred to as "Subscription Based Services" and "Subscription Fee" respectively. When you register for Subscription Services, you are bound by additional terms, including those of third parties providing such services. It is essential to thoroughly review and agree to these terms, including third-party terms of service, privacy policies, and relevant policies before proceeding. These Terms also govern your use of Subscription-Based Services. Upon registration for Subscription Based on Services, you commit to paying the applicable Subscription Fees outlined on the Site and/or App. It is mandatory to designate a payment method, provide accurate billing and payment information, and ensure its ongoing accuracy. If third-party products or services are included, your purchase and use are subject to the respective third party's terms of service and privacy policy.

Payment: You confirm that you meet the minimum age required for a legal agreement. You agree to settle payments for the Subscription Services, including additional charges, taxes, and fees incurred under your account. You are responsible for all charges under your account, whether made by you or authorized users. Feni is authorized to charge your designated payment method and retain payment information for verification and anti-fraud purposes.

Renewal: Many Subscription Based Services utilize auto-renewal. Your subscription will automatically renew at the end of each term, charging the provided payment method unless cancelled 48 hours before the current period ends. Renewals occur at the then-current price, excluding promotions. We may post charges individually or aggregate them at our discretion.

Fraud Protection: Steps may be taken to verify credit card information, including debiting and crediting small amounts for verification and anti-fraud purposes.

Free Trials: Free trials may be offered, subject to terms. If not cancelled before expiration, periodic subscription fees will apply. Users are limited to one free trial, and combining multiple trials or offers is prohibited.

Termination: We may, at our discretion, change, discontinue, or terminate aspects of Subscription-Based Services without notice, with a potential refund for unavailable terms.

No Refunds: Subscription charges are generally nonrefundable, except as specified in agreed-upon terms. Refund requests due to error or other reasons must be made within 30 days, and we reserve the right to refuse requests under certain conditions.

Feni retains the right to deny service, terminate accounts, or edit or remove content at its sole discretion. Visitors can post reviews, comments, and additional content, as well as submit suggestions, ideas, comments, questions, or other information. However, such content must not be illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise harmful to third parties. Content should not be created completely by generative AI and must not include software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam”. False e-mail addresses, impersonation, or misleading origins of content are strictly not allowed. U) Dispute Resolution and Governing Law

By accessing or using the Site and/or Feni’s Services, you agree that all matters, including disputes, arising from such access or use, shall be governed by the laws of Sweden, without consideration for conflicts of laws provisions. You consent to the personal jurisdiction and venue in the state and federal courts located in Stockholm, Sweden, and willingly waive any objection to such jurisdiction or venue. However, if you are a consumer based in the US, the preceding venue provision does not apply, granting you the option to file a claim in the courts of your country of residence. Claims under these Terms of Use must be initiated within three (3) months from the occurrence of the cause of action, or they are deemed barred. This time limitation does not extend to claims made under separate terms and conditions for the purchase of goods and services.

Damages sought for recovery are limited to out-of-pocket expenses, with the prevailing party entitled to costs and attorneys' fees. In the event of a dispute or controversy between Feni and you arising from your use of the Site and/or Services, the parties commit to attempting a prompt and good-faith resolution. Should the resolution be unattainable within a reasonable time (not exceeding thirty (30) days), either party may submit the dispute to mediation. If mediation proves unsuccessful, the parties retain the freedom to pursue any available right or remedy under applicable law.

Again, These Terms and your utilization of the Service are subject to the laws of Sweden, without consideration of conflict of law rules or principles of Stockholm, Sweden, or any other jurisdiction leading to the application of laws from another jurisdiction. Disputes between the parties not subject to arbitration as outlined in these Terms cannot be addressed in small claims court. Therefore, such disputes shall be resolved in the state or federal courts of Stockholm City, Sweden.

V) Export Compliance

You are obligated not to directly or indirectly export or re-export the Service, and/or any other information or materials provided by Feni, to any country requiring an export license or other governmental approval from Sweden or any relevant jurisdiction at the time of export, without obtaining such necessary license or approval. Specifically, the Service may not be exported or re-exported to:

-Any country under Swedish embargo or any nation designated by the Swedish Government as a "terrorist supporting" country.

-Any individual listed on any Swedish Government roster of prohibited or restricted parties, including the Swedish Tax Department's(Skatteverket) list of Specially Designated Nationals, the Department of Commerce Denied Person's List or Entity List.

-By utilizing the Service, you affirm and guarantee that you are not situated in any such restricted country or listed on any such roster. You acknowledge and agree to comply, at your sole expense, with all applicable Swedish export laws and regulations.
